1. Scope
These terms govern software development, AI consulting, cybersecurity, and other services offered by pordee.net. Specific scope, deliverables, and pricing for each engagement are set out in the corresponding Proposal or Statement of Work (SoW).
2. Payment
- Payment terms and milestones are stated in each Proposal / SoW.
- Invoices more than 14 days overdue may result in a temporary suspension of service.
- Withholding tax follows Thai law.
3. Intellectual property
On full payment, the work-product delivered becomes the customer's property, except for:
- Tooling, frameworks, and model fine-tunes that pordee.net reuses across engagements (these remain pordee.net's).
- Third-party open-source code (under its original license).
4. Confidentiality
Material a customer entrusts to us is treated as confidential — kept on on-prem infrastructure, not sent to third-party LLMs without consent, and deleted on request when an engagement ends.
5. Limitation of liability
pordee.net's liability in any case is capped at the amount actually received for the engagement giving rise to the dispute. We are not liable for indirect or consequential damages.
6. Governing law
These terms are governed by Thai law. Any dispute is subject to the exclusive jurisdiction of the courts of Bangkok.
